This percentage of ownership is based on 112,311,984 shares of Common Stock outstanding as of November 1, 2023 as disclosed in the Issuer’s Form 10-Q filed November 9, 2023, as increased by 1,815,789 shares of common stock issuable in connection with the exercise of the 1,815,789 Warrants.
